Welcome to ELModeeer (the “School & Brand”). These Terms of Use (“Terms”) govern your access to and use of our website, course(s), learning platform (including any third-party hosting such as Thinkific), community spaces, and any related content, downloads, emails, and services (collectively, the “Services”).

By accessing or using the Services, creating an account, or purchasing/enrolling in a course, you agree to be bound by these Terms. If you do not agree, do not use the Services.

No guaranteed outcomes: Our course(s) provide educational information and practical frameworks. We do not promise or guarantee promotions, salary increases, job offers, business success, or any specific result. Your outcomes depend on your effort, skills, workplace context, and many factors outside our control.


1) Definitions

  • “Instructor” means [Instructor Full Name / Legal Entity Name].
  • “User” / “you” means any visitor, student, purchaser, or community member.
  • “Content” means all videos, lessons, slides, PDFs, playbooks, templates, prompts, emails, quizzes, assessments, graphics, audio, and text provided through the Services.
  • “Community” means any group, comments, forums, chat, or member area operated by the School.

2) Eligibility

You must be at least 18 years old (or the legal age of majority in your jurisdiction) to purchase or use the Services. By using the Services, you represent that you meet these requirements.

3) Accounts, Access, and Security

A) Account responsibility

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and keep it updated.

B) Personal license only (no sharing)

Unless explicitly stated otherwise, your enrollment grants you a personal, non-transferable right to access the course for your own learning. You may not share your account, login, or access with any other person.

C) Device and location limits (anti-abuse)

We may implement reasonable technical controls to prevent abuse, including limitations on concurrent sessions, unusual login patterns, excessive device changes, or access from multiple geographic regions in short periods of time.

D) Security monitoring and enforcement

To protect our intellectual property, our students’ investment, and the integrity of the Services, we reserve the right to monitor access patterns and investigate suspected misuse (including account sharing, scraping, recording, or piracy). This may include reviewing login history, device data, IP patterns, timestamps, and course access logs where available.

4) Purchases, Pricing, Taxes, and Payments

A) Pricing and changes

Prices, offers, and promotions may change at any time. The price at checkout at the time of purchase is the price that applies to that transaction. We are not obligated to provide retroactive discounts.

B) Payment processing

Payments are processed by third-party payment processors and/or the platform provider. You agree to comply with their rules in addition to these Terms. We do not store full payment card details.

C) Taxes

You are responsible for any taxes, duties, or fees required by your jurisdiction, unless explicitly stated otherwise.

D) Chargebacks

If you initiate a chargeback or payment dispute without first contacting us to attempt resolution, we reserve the right to suspend or terminate your access pending the outcome of the dispute and to recover associated administrative and dispute fees where allowed by law.

5) Refund Policy

Our refund policy is described on the checkout page and/or in our Refund Policy document (“Refund Policy”), which is incorporated into these Terms by reference.

6) Intellectual Property (IP) and Ownership

A) Our ownership

All Content and Services are owned by or licensed to the Instructor and are protected by intellectual property laws. This includes (without limitation) videos, slides, PDFs, playbooks, scripts, templates, prompts, frameworks, brand names, logos, and designs.

B) Limited license to you

Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Content for your personal, non-commercial learning only.

C) No resale / No redistribution / No derivatives

  • You must not copy, reproduce, distribute, share, publish, resell, sublicense, rent, or lease any Content.
  • You must not create derivative works from the Content (including repackaging it as your own course, ebook, prompts, templates, or coaching material).
  • You must not remove watermarks, branding, copyright notices, or access controls.

7) Strict Anti-Piracy and Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Account sharing (giving access to another person, or using someone else’s access).
  • Screen recording, capturing, downloading, or ripping course videos (even if for “personal use”).
  • Copying or distributing PDFs, playbooks, slides, templates, prompts, or any course materials.
  • Uploading any course content to YouTube, Telegram, Facebook groups, Drive links, torrent sites, or any platform.
  • Using bots, scraping tools, or automated systems to extract content or data.
  • Misrepresenting affiliation with the Instructor or claiming you are an authorized partner.
  • Harassment, hate speech, threats, spam, or disruptive behavior in the Community.

Enforcement and Remedies

If we reasonably suspect a violation, we may take any of the following actions without notice (where permitted by law):

  • Temporarily suspend or permanently terminate your access
  • Remove community posts or revoke community privileges
  • Disable certificates or revoke certificate validity
  • Require re-verification of identity or account ownership
  • Pursue legal remedies and cooperate with lawful requests

Note: Unauthorized sharing harms legitimate students. We treat piracy as theft of intellectual property and may act accordingly.

8) Community Rules

If you access our Community, you agree to maintain professional, respectful conduct and to follow our Community Guidelines. We may moderate, remove content, or restrict users to maintain quality and safety.

  • No harassment, insults, discrimination, or threats
  • No spam, irrelevant promotions, or unsolicited links
  • No sharing private information of others without consent
  • Stay on topic and add value

9) User Content (If You Post Anything)

A) You own what you post

You retain ownership of content you submit (comments, posts, messages, testimonials, reviews), but you grant us the rights below.

B) License to use your submissions

By submitting content, you grant the Instructor a worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display that content for operating, marketing, and improving the Services.

If you do not want your name or identifiable details used publicly, do not include them in your submissions or email us at [[email protected]].

10) Certificates

Certificates (if offered) confirm course completion only. They do not represent a university degree, professional license, or guarantee of employment/promotion. We reserve the right to revoke certificates obtained through fraud, cheating, account sharing, or violations of these Terms.

11) Disclaimers

A) Educational content only

The Services are for educational purposes and general informational use. Nothing in the course constitutes legal advice, HR advice, investment advice, medical advice, or a guarantee of professional outcome.

B) No warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, or non-infringement.

C) Third-party platforms and tools

We may recommend or reference third-party tools (including AI tools). We are not responsible for third-party services, pricing changes, outages, or their terms/privacy practices. You use third-party tools at your own risk and subject to their policies.

12) Limitation of Liability

To the maximum extent permitted by law, the Instructor and School will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, business interruption, or reputational harm arising from or related to your use of the Services.

To the extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid for the course in the [3/6/12] months preceding the event giving rise to the claim.

13) Indemnification

You agree to indemnify, defend, and hold harmless the Instructor, School, employees, contractors, and partners from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of the Services or Content
  • Your infringement of intellectual property rights
  • Your unlawful conduct in the Community or while using the Services

14) Suspension and Termination

We may suspend or terminate your access immediately if we believe you violated these Terms or engaged in conduct that harms the School, the Instructor, or other users. Upon termination, your license to use the Content ends immediately.

Termination does not limit our right to pursue other remedies available under law.

15) Privacy

Your use of the Services is also governed by our Privacy Policy. Please review it to understand how we collect and use data.

16) Changes to the Services or Terms

We may modify or discontinue parts of the Services at any time. We may also update these Terms. If changes are material, we will update the “Last Updated” date and may provide notice where appropriate. Your continued use after changes means you accept the updated Terms.

17) Governing Law and Dispute Resolution

These Terms are governed by the laws of [Egypt/Cairo], without regard to conflict-of-law principles.

Dispute Resolution :

19) Miscellaneous

  • Severability: If any provision is found invalid, the remaining provisions remain in effect.
  • No waiver: Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment: We may assign these Terms as part of business restructuring, acquisition, or asset sale. You may not assign your rights without our written consent.
  • Entire agreement: These Terms, the Privacy Policy, and any posted policies (including Refund Policy and Community Guidelines) form the entire agreement.
